The funds will be used to (partially) pay off the debts, but the assets will be acquired in the clear.

Whatever the theme of the site, it's got an admixture of very Gawker-ish posts by former Gawker-exclusive writers being thrown into the hopper. I don't think they actually laid off anyone.
